1. Acceptance & Scope of Services
These Terms of Use ("Terms") govern your access to and use of the SushiVid website at sushivid.com (the "Site"), and all services provided by SushiVid Sdn Bhd ("SushiVid", "we", "us", "our"). By accessing the Site or engaging any of our services, you agree to be bound by these Terms.
SushiVid is a multi-disciplinary digital marketing agency. Our services include influencer marketing campaign management, livestream studio rental, live stream management, TikTok Shop management, social media management and boosting, DM/WhatsApp marketing, and mini webpages (via our affiliated product IGlinks). Each service below has its own section covering terms specific to that service; Part C at the end of this document applies across all services unless a service-specific section says otherwise. We do not knowingly engage with clients in the tobacco, alcohol, or gambling sectors.
Unless stated otherwise, all fees and prices referenced throughout this document are exclusive of Malaysia's Sales and Service Tax (SST), which is charged in addition where applicable.
2. Influencer Marketing Platform
SushiVid offers two ways for brands to run influencer marketing campaigns through our platform: Managed Service, where our team runs the campaign on your behalf, and Marketplace (coming soon), a self-service option where campaigns are run through our AI system. The sections below set out the terms specific to each.
2.1 Managed Service
Under Managed Service, SushiVid acts as your agency: our team plans, executes, and manages your influencer campaign using our proprietary campaign management platform, built from our years of operating experience in influencer marketing.
Scope of Work
Before a quotation is signed, our work covers sourcing influencers for your consideration (an especially narrow or specific search — for example, a specific location, or a specific skin condition — may be chargeable) and discussing timeline and deliverables with you. Influencer costs are not confirmed until a quotation is signed.
Once a quotation is signed, our work covers confirming content direction, briefing that direction to influencers, collecting and relaying influencer content drafts for your feedback, checking that content has gone live, and handling communication and payment to influencers. Basic reporting is provided 7 working days after the last piece of content goes live.
Any task outside this scope of work is treated as an add-on and is separately chargeable, as set out below.
Service Fees
Our fees reflect the effort required to manage your campaign, and scale with factors including: the number of KOLs (key opinion leaders) managed, the volume of content required per KOL, the complexity of the campaign brief, and the number of approval layers involved. As a general guide, our fees are calculated at approximately 2x our underlying manpower cost for the campaign — broadly, 50% of the fee covers our team's cost of service, and 50% is company margin.
Any delivery or execution costs additional to standard campaign management are billed to the client separately.
Fees for Add-On & Out-of-Scope Work
Tasks outside our standard Scope of Work above are chargeable, including:
- Last-minute changes: where content has already been made, 100% of the influencer's fee is charged for that change. Where the change is requested less than 48 hours before content goes live, this is subject to the influencer's agreement; if the influencer declines to make the change, the client is liable for the cost of finding an alternative.
- Event attendance to assist influencers: chargeable time starts 1 hour before the event, and applies where our team's attendance exceeds 3 hours per event, at RM500 per manpower plus transport on working hours on business days, RM1,000 per manpower plus transport on weekends and public holidays, and RM1,000 per manpower for non-working hours on business days.
- Production assistance: where our team assists with production, our clock runs from the first call time for influencers to the departure of the last influencer from the production scene, charged at the same manpower/transport rates as event attendance above.
- Product management: picking up products (RM300 within Klang Valley, or transport fee + RM500 elsewhere in Malaysia); purchasing products (cost of product + RM200 per outlet where multiple outlets are involved); a PR kit (RM3,000 for design and sourcing, plus the cost of creating the kit); and shipping of products (RM50 per product).
- Livestream management support: giveaway management and on-site manpower to manage customer support questions during a livestream is RM500 per livestream; for management and on-site manpower during out-of-office hours, RM1,000 per livestream.
- Especially specific or lengthy KOL searches: a special or highly specific request on KOLs (for example, a specific university, state, age of child, advocacy cause, or skin condition) is chargeable. KOL searches are covered up to 20 working days; beyond that, RM100 per day is chargeable for each KOL. As a general guide, we aim to provide 10 candidate influencers for every 3 ultimately engaged; if we are unable to find a suitable influencer after cycling through many candidates, we may reject the campaign or charge for the additional search.
- Engaging influencers who require upfront payment: where a client insists on working with an influencer who requires upfront payment, but is unable to provide upfront payment to SushiVid themselves, a fee of 3–5% interest, compounded monthly, applies to the amount SushiVid has paid the influencer on the client's behalf, unless otherwise negotiated.
- Editing of influencer content: where we need to edit an influencer's photos or videos beyond what is already agreed, this is chargeable at 20% (photos) or 30% (videos) of the relevant cost.
- Legal document stamping: our legal document preparation is provided free of charge by default; stamping of legal documents for digital usage or IP rights is chargeable at RM300 per document.
- Urgent or additional reporting: urgent reporting requested by your campaign manager, or constant reporting on ongoing campaign status, is chargeable at RM1,000 per report request, plus an additional RM1,000 if we need to obtain influencer screenshots, and an additional RM5,000 if we need to prepare a competitor analysis (covering 2 competitors over a 6-month campaign period).
- Additional deliverables after content direction is confirmed: new suggestions to add to an influencer's pre-agreed deliverables (for example, asking the influencer to also share to Facebook, like/comment on hashtag posts, upload extra content as a story, pin or highlight a story, include a link in their bio, or wear/use a specific colour) are treated as additional deliverables and are chargeable.
- Changes to scope of work after confirmation: a minimum fee of RM1,000 applies per change, per 50 influencers (rounded up to the next 50 — for example, a change affecting 70 influencers is charged as if it affected 100), plus any direct cost of the change itself.
Content Revisions (Iterations)
Where an influencer is asked to revise their content after the brief has already been agreed with the client, basic iterations are allowed up to 2 times at no extra charge; beyond that, basic iterations are chargeable at up to 50% of the total influencer's cost.
Basic iterations include, for video: changes to sound effects or special effects (pop-ups, stickers), and changes to descriptions, titles, captions, or hashtags; for photos: changes to captions, descriptions, filters, or framing; and for articles: adding or editing a sentence for clarity.
Major iterations are chargeable, with the fee depending on the extent of the change. Major iterations include, for video: reshoots due to length, unclear sound, changed key messages, choppy editing, or an unsuitable background; for images: unclear visual branding, distracting backgrounds or objects, or unsuitable clothing; and for articles: a change of direction, title, or multiple paragraphs.
Content Compliance & Posting Risk
Different social media platforms apply their own content curation standards, which are not always publicly disclosed, and we may not be aware of a piece of content's non-compliance with these standards unless it is evident. Where content cannot be posted for this reason, and an influencer declines to make further attempts after 1 warning (as repeated attempts to post non-compliant content risk the influencer's account being permanently suspended), full payment for the campaign may still be required, subject to negotiation with the influencer.
Campaign Performance & Delivery Disclaimers
SushiVid does not guarantee that an influencer's price will not change between initial discussion and final engagement, or that an influencer's engagement rate on a campaign will match their historical average. If an influencer's account is compromised during a campaign, SushiVid is not liable for any resulting loss of content. Influencers engaged through SushiVid are freelancers and are not under contract with SushiVid; we are not liable for their misrepresentation, misconduct, or any posting they make outside the scope of your campaign. Changes made by social media platforms that affect your campaign's reach, views, or results are beyond our control.
We are not liable for delays caused by an influencer's unforeseen circumstances (for example, emergencies, medical emergencies, sudden illness, or disasters such as floods or earthquakes), nor for delays caused by the client's own circumstances. Please note that delays in a client's approval process may cause further delays from influencers, as we cannot guarantee an influencer's schedule once the originally agreed timeline has passed.
Campaign Duration
Unless otherwise stated, an invoiced campaign is expected to be completed within 12 months of the invoice date. Where a campaign is delayed beyond this period, or where a campaign's originally agreed duration is otherwise extended (for example, a campaign scoped for 1 month that runs for 3 months instead, where the campaign exceeds 15 calendar days in total), an additional fee of RM3,000 is charged for each additional month.
Payment Terms
For new clients, payment terms are 50% upfront for Malaysia-registered companies, and 100% upfront for companies registered outside Malaysia.
Default Boosting Allocation
By default, every Managed Service campaign includes an ad boosting budget as part of the overall campaign fee — 10% of the campaign budget for awareness campaigns, or 30% for conversion campaigns. SushiVid's management fee for this boosting spend is 10% of the boosting budget, consistent with Section 6.1 (Ad Boosting) below.
Cancellation by Client
Where a client cancels a campaign, a cancellation fee applies, ranging from 30% to 100% of the invoiced amount, depending on how much work has already been carried out at the point of cancellation:
- 30% (minimum): where a campaign is cancelled at an early stage, before SushiVid has carried out significant preparation work.
- 50%: where SushiVid has already carried out substantive work — for example, campaign briefs have been created, influencers have been communicated with and invited to the campaign — but the influencer has not yet created any content; or where the influencer has already created content in draft form, but that content has not yet been posted. This also covers cases where the influencer's attendance was required at a campaign event (and they would need to be compensated for their time and travel to that event), even though no content was ultimately created.
- 100%: where the influencer's content for the campaign has already been fully delivered and posted; or where all preparation and setup work has been completed (for example, printed collateral has been produced, event design and setup is complete, and influencers and guests are already present at the event). In the latter case, influencers will be paid in full for their attendance at the event, though not for content creation, since no content was created as a result of the cancellation.
- Within 48 hours of the scheduled event or activity: SushiVid will charge for the damages and costs already incurred (for example, non-cancellable costs already paid on the client's behalf, such as food or venue costs), together with our fees for the work already carried out up to that point.
For long-term campaigns (more than 1 month), this same 100%/50% split applies to each month: 100% is charged for deliverables completed up to that point, and 50% for any drafts received for content still to be posted in that month.
KOL Shortlisting
Over 50% of the KOLs for a campaign should already be shortlisted before an invoice is signed. This is to give reasonable confidence that the KOLs you wish to engage can be secured without material difficulty.
Reporting
Automated campaign reports are generated on our platform and available to view at any time. A written report, including commentary from our team, will be made available within 7 days of the later of: the last piece of content delivered, or the last day of ad boosting. Our standard complimentary report covers Likes, Comments, Views, Shares, Engagement Rate, Impressions, Reach, Reach Rate, and Link Clicks, and includes our team's feedback on what could be done to improve the campaign's performance going forward. Impressions, Reach, Reach Rate, and Link Clicks are not available for Seeder Influencer campaigns (influencers with fewer than 10,000 followers).
For long-term campaigns (more than 1 month), reporting is updated every first week of the month. Advanced reporting on metrics not covered by our standard report is chargeable per report.
2.2 Marketplace (Coming Soon)
Marketplace is a self-service alternative to Managed Service. On Marketplace, brands interact with our AI system rather than our team — campaign creation, influencer shortlisting, influencer engagement, draft/content collection, and report writing are handled entirely by the AI system. Because there is no dedicated account management team involved, Marketplace fees are significantly lower than Managed Service fees.
Marketplace draws on our existing database of influencers, all of whom are already familiar with the SushiVid platform, to make campaign setup easier.
As Marketplace is a self-service platform, SushiVid is not responsible for disputes or mismanagement arising between brands and influencers on Marketplace. Where requested, SushiVid may mediate such a dispute at an additional cost of RM300 per KOL involved.
AI & Content Integrity
As Marketplace is powered by AI, we want to assure clients and influencers that we will not use AI to fabricate endorsements, or to misrepresent an influencer's actual views or participation in a campaign.
2.3 Terms for Influencers/Creators
Platform Withdrawal Fees
A management fee applies when an influencer withdraws funds from the SushiVid platform, calculated at 5% of the withdrawal amount or RM300, whichever is lower, per withdrawal.
Where an influencer instead wishes to send SushiVid an invoice (rather than withdrawing through the platform), an additional management fee applies, calculated at 10% of the relevant KOL fee or RM1,000, whichever is lower, to cover the additional manual steps this requires on our end (including manual entry into our accounting system, initiation of payment by our maker, and manual approval by our approver).
These management fees are charged on a per-campaign basis, and go towards covering the administrative cost of operating and maintaining the SushiVid platform — including managing the confidentiality of influencers' information — so that it remains sustainable for the benefit of everyone who uses it. We are committed to creating as many job opportunities as possible for the influencers and creators who work with us.
Agreed Fees & No Mid-Campaign Renegotiation
Any payment SushiVid agrees to pay an influencer for a campaign is agreed and made clear to the influencer before the event or campaign begins, save for any additional scope the client later chooses to add on (for example, ad boosting rights). Influencers are not permitted to request additional payment partway through a campaign, or otherwise seek to compel SushiVid to pay more than the amount agreed upfront.
Where an influencer incurs travel expenses in the course of creating content for a campaign, these expenses are expected to already be factored into the influencer's agreed rate, and are not separately billable to SushiVid or the client unless otherwise agreed in advance.
Tracking of Jobs, Campaigns & Payments
Influencers are responsible for keeping track of their own jobs, campaigns, and payments due to them on the SushiVid platform. As a courtesy, we will send an email reminder when a payment is due and available for withdrawal, but we are not able to withdraw funds on an influencer's behalf — withdrawal must be initiated by the influencer themselves.
To be paid, influencers must sign up for an account at account.sushivid.com/influencers/sign_up, if they have not already done so. Once a payment is due, the fee is credited to the influencer's SushiVid wallet; from there, the influencer can initiate a payout request to transfer the fee to their own bank account.
Payment Timeline
Payment is made within 30 working days of campaign completion, measured from the later of: the last day the campaign content goes live, or the date the influencer submits their Insights (see below).
Insights Submission
Influencers are required to provide a copy of their content Insights (platform analytics) so that SushiVid can prepare the campaign report at the end of the campaign. Payment will not be released until Insights have been submitted.
Content Retention
Influencers must not delete campaign content. Deleting content affects the influencer's future payment and their standing for future SushiVid campaigns.
Campaign Confidentiality
The content of a campaign brief is confidential, and intended only for the influencer it is sent to. Influencers must not share any part of a campaign brief with any third party or disclose it to anyone else; SushiVid may take action in response to any such disclosure.
Late Drafts & Postings
As our clients' campaigns are time-sensitive, influencers are expected to follow the timeline agreed with their campaign manager. Failing to provide drafts on time, failing to let us know (at least 3 days before the content go-live date) that a post cannot be made on time, or failing to show up on time to an event or livestream, may result in a deduction from the influencer's payment, or a requirement to provide additional postings to compensate the client.
Last-Minute Pull-Outs
Where an influencer is unable to participate in a campaign after agreeing to it and receiving the brief, and fails to inform SushiVid within 7 days of receiving the brief, the influencer is liable for any resulting damages — including the cost of finding a replacement, any increase in price charged by a replacement influencer due to the short notice, and an administrative fee, up to the difference between the amount payable to the new influencer and the original influencer's own payment amount.
Where an influencer is engaged for a photo shoot and is unable to attend with less than 24 hours' notice, the influencer is responsible for the setup cost and the cost of all manpower on site for that shoot.
Account Security
The safety and security of an influencer's own social media account is solely their own responsibility. SushiVid is not liable for any blocking, banning, or loss of an influencer's account, whether or not this is connected to a campaign conducted through SushiVid.
Registered Phone Number & Payment Discharge
Access to a SushiVid account is tied to a registered mobile phone number, verified by one-time password (OTP). It is the influencer's responsibility to inform SushiVid if their registered phone number changes, or if they begin using a different number (for example, a manager's number) to access their account.
Where a manager contacts SushiVid to follow up on a payment that has already been paid to the mobile number registered on the influencer's account, it is the influencer's own responsibility to provide their manager's details to SushiVid, since we are not otherwise aware of who represents whom, and these arrangements change frequently. SushiVid will only correspond with the mobile number registered on the account.
Once funds have been disbursed to the account connected to an influencer's registered mobile number, that payment is considered made. Keeping contact details up to date is the influencer's own responsibility.
Unclaimed Funds
Where a payment due to an influencer remains unwithdrawn from the SushiVid platform for 7 years, in line with our internal audit and record-retention cycle, and our reasonable attempts to reach the influencer (including by email and any other contact details on file) go unanswered or unresolved, SushiVid will not treat such funds as company profit. Instead, in accordance with Malaysia's Unclaimed Moneys Act 1965, we will report and remit such unclaimed funds to the Registrar of Unclaimed Moneys at the Accountant General's Department of Malaysia as part of our standard company process, together with whatever identifying information we hold on file (such as name, Instagram handle, campaign details, and last known contact information), even where our records are incomplete. Once remitted, an influencer wishing to claim such funds will need to do so directly through the Registrar of Unclaimed Moneys, rather than through SushiVid.
Campaign Acceptance
An influencer's acceptance of a campaign does not need to be explicit. Responding to our WhatsApp message or a campaign notification on our system, without objecting to it, is treated as acceptance of the terms of working with us for that campaign.
We will also send a campaign brief by email. If an influencer receives this brief and does not reply within 72 hours to indicate that they do not accept the job, the job will be treated as accepted, provided the surrounding circumstances reasonably support this (for example, where the influencer has already responded positively to our team about the campaign). This shorter turnaround reflects the fast-moving nature of short-form content campaigns.
Product Liability & Endorsement Risk
SushiVid is not liable for any issues, including health-related issues, arising from a client's product itself. Our role is limited to brokering the engagement between the client and the influencer for a campaign. It remains the influencer's own responsibility to research and test a product before endorsing it.
Personal Safety & Assumption of Risk
Where an influencer attends or takes part in any event, activity, or challenge as part of a campaign (for example, where a client asks the influencer to take part in a contest or physical activity), it is the influencer's own responsibility to exercise reasonable care and to know their own personal limits. SushiVid is not responsible for any injury suffered by an influencer in the course of such participation.
Replacement of Critical Personnel
Where an influencer holds a critical role in an event or production (for example, as the main talent in a photoshoot or production, or as the event's emcee), and a replacement needs to be engaged at short notice (i.e. within 24 hours of the event) due to an issue on the influencer's part, SushiVid will charge a replacement fee, which will be passed on to the influencer.
Where an event or production is already fully set up (for example, where production crew, make-up artists, and other personnel are already present at the shoot) and the influencer cancels at that stage, the influencer is responsible for all costs incurred as a result, and SushiVid is not liable for these costs. Influencers are expected to inform us promptly of any change in their availability to avoid this situation arising.
Loaned Products & Equipment
Where products or equipment are loaned to an influencer for a campaign, the influencer is expected to exercise reasonable care in handling them. If loaned products or equipment are returned broken, damaged, or otherwise unsatisfactory to the client, the influencer will bear the cost of the damage, and SushiVid is not liable for this.
Clients that loan products to an influencer do so entirely at their own risk. SushiVid does not guarantee the condition of any loaned product, and is not responsible for products that are missing, damaged, or not returned, for any reason.
Duty to Inform
Influencers are expected to inform SushiVid as soon as possible of any issue that may affect a campaign, particularly where other production crew or event setup is involved. These requirements are not intended to be unreasonable towards influencers, but exist to protect SushiVid from costs that could otherwise put the business at serious financial risk.
License Grants
Subject to these Terms, SushiVid grants you a personal, revocable, non-exclusive, and non-transferable licence during the Term to access and use the Site in accordance with these Terms.
Subject to these Terms, you grant SushiVid a perpetual, transferable, irrevocable, royalty-free, fully paid-up, worldwide, and fully sublicensable licence to access, collect, store, and use any data, information, records, and files that (1) you load, transmit, or enter into the Site, or (2) we collect from your local computer system or from third parties with your permission — including all results from processing such data, such as compilations and derivative works — solely to (A) provide the Site's services, (B) comply with applicable law, and (C) support SushiVid's reasonable audit and data retention policies.
User Account
You will be required to sign up for a user account (a "User Account") and will be issued a user ID and password by SushiVid in order to use the Site and communicate with brands through it. You must keep your User ID secure, must not share it with anyone else, and must not collect any personal data belonging to any other SushiVid user, including account IDs. SushiVid reserves the right to disable any User Account at any time, at its sole discretion. If your User Account is disabled, you may lose access to SushiVid, your account details, or any campaigns associated with your account.
Term & Termination
These Terms commence on the day you first use the Site and remain in force until terminated by either party. SushiVid may terminate these Terms at any time, with immediate effect, by giving you notice by email or through the Site. You may terminate these Terms at any time, with immediate effect, by requesting that your User Account be deleted and ceasing use of the Site.
2.4 Content Ownership & Usage Rights
Unless otherwise agreed in writing, content created by an influencer remains the property of that influencer. A client wishing to repost or feature an influencer's content on its own social media channels (including tagging or crediting the influencer) must first obtain the influencer's permission to do so.
Where a client uses an influencer's content in print, advertising, or any other digital or offline material without having obtained the influencer's permission, the client does so entirely at its own risk, including the risk of legal action being brought against it by the influencer or rights holder.
Usage Period
Unless otherwise negotiated, a client's permission to use an influencer's content for ads, boosting, or paid campaigns is granted for 60 days from the first day of usage.
Digital Content Usage Agreement
SushiVid requires influencers to sign a separate Digital Content Usage (DCU) agreement, setting out the duration of usage, the platforms covered, and the charges applicable to that specific instance of content usage. We advise clients not to begin a DCU-based campaign (for example, boosting, paid promotion, or livestream usage of an influencer's content) until the influencer has agreed to the associated costs, to keep this transparent and avoid disputes later. SushiVid provides a legally enforceable DCU document signed by both parties for each such arrangement.
2.5 Exclusivity
No influencer is signed or contractually bound on an exclusive basis to SushiVid. We remain influencer-agnostic, which allows us to recommend and engage the influencers best suited to each campaign, rather than being limited to a fixed roster.
2.6 Data Protection & Access to Your Information
We use high-level security measures on our servers to protect sensitive information, such as influencers' bank details and identification documents, from data leakage.
For this reason, we encourage influencers to withdraw funds from the platform themselves, rather than through our employees. Access to an influencer's personal account details is restricted to our co-founders; our other employees do not have access to view an influencer's personal or financial information, unless an influencer voluntarily sends such information to them directly. Where an influencer chooses to do so, this is done entirely at the influencer's own risk — influencers who wish to keep their information private are encouraged to enter it directly on the platform themselves.
2.7 No Bribery or Secret Benefits
Our employees are expected to remain independent of the influencers we work with, and are not permitted to accept bribes, secret commissions, or any other undisclosed benefit from an influencer. An influencer found to have offered a bribe to a SushiVid employee, and any employee found to have accepted one, may each face legal action.
Should any SushiVid employee ask an influencer for a bribe, commission, referral fee, or any other benefit, this should be reported through our whistleblower channel, details of which can be found on our Whistleblower page.
Conflict of Interest Disclosure
Where an influencer is affiliated with or related to a member of the SushiVid team, this relationship must be disclosed to us before or at the point of engagement.
3. Live Streaming Service
Our livestreaming service is typically conducted on the client's own social media account, rather than an influencer's. The service includes scripting, briefing the host (whether provided by SushiVid or by the client), and managing the livestream as it happens.
Banners & Stickers
Design of up to 3 banners and stickers is included as part of the service. Additional fees apply where more than 3 banners or stickers need to be designed.
Overtime
Additional fees apply where the livestream takes place outside 9:00am to 6:00pm, as overtime pay is required for our staff.
Off-Site Livestreams
Where the livestream takes place at a location other than our own premises, a transport fee is chargeable.
4. Livestream Studio Rental
This section applies to bookings of our livestream studio (Petaling Jaya) and our bedroom/kitchen livestream location (Damansara Intan).
Postponements
Postponements may be rescheduled at any time at no charge, subject to availability.
Cancellations – Studio Booking
- Cancelled within 12 hours of the scheduled live stream: 50% of the booking fee is chargeable.
- Cancelled within 3 hours of the scheduled live stream: 80% of the booking fee is chargeable.
Cancellations – Technical Crew or Live Host
- Cancelled within 12 hours: 50% of the relevant fee is chargeable.
- Cancelled within 1 hour: 100% of the relevant fee is chargeable, as the crew or host's time has already been committed.
Rates for technical crew, live chat moderation, and live hosts vary by time of day (standard, after-hours, and midnight-onwards) and, for live hosts, by which host is booked. Current rates are published on our Livestream Studio Rental page and are subject to change.
5. TikTok Shop Management
We are pleased to support clients with TikTok Shop management, whether you are onboarding to TikTok Shop for the first time or transitioning your account from another agency.
Setup Fee
A one-time setup fee applies for clients onboarding to TikTok Shop for the first time.
Scope of Ongoing Maintenance
Our ongoing maintenance service covers updating your inventory, adding new products, and creating promotions for your products. For clarity, this service does not include content creation or livestreaming, both of which are offered separately as part of our other services.
Fees for ongoing maintenance are determined by the number of SKUs we manage and update on your behalf each quarter.
Customer Service
Where engaged, our team will respond to customer enquiries on your TikTok Shop between 9:00am and 6:00pm, Monday to Friday. This is offered as a separately chargeable service. We will also help set up a general FAQ to automate responses to common enquiries.
Minimum Engagement & Fee Structure
A minimum engagement period of 6 months applies. During this initial period, our services are chargeable at our full standard fee. Once your business has stabilised on the platform, we are happy to transition to a fee structured as a percentage of GMV (gross merchandise value); at that point, we will also incorporate livestreaming and content creation into our service at no separate charge, as our incentives become aligned with your sales performance. We are unable to offer this percentage-of-GMV arrangement, or the accompanying livestreaming and content creation, during the initial 6-month period.
6. Social Media Management & Boosting
6.1 Ad Boosting
Our ad boosting service is primarily intended to help influencers achieve greater reach for their content. Not all content is equally likely to travel on its own: content covering topics such as banking, insurance, or health tends not to go viral naturally, unlike more broadly relatable content such as food recommendations, which tends to reach a wide audience with ease. Ad boosting helps bridge this gap and give your content the reach it deserves.
We also offer ad boosting to support livestreams, giving your live session a bit of extra momentum, particularly useful at the start of a stream.
Fees
We charge a service fee of 10% for managing ad boosting on behalf of our clients.
Supported Platforms
Ad boosting is currently available on Meta, TikTok, YouTube, and RedNote only. Availability on other platforms may be introduced in future and will be communicated to clients accordingly.
Minimum Spend
Where ad boosting is added on to an influencer marketing campaign, the minimum spend starts from RM1,000. For standalone ad boosting (i.e. not attached to an influencer marketing campaign), the minimum spend starts from RM5,000.
Payment
Ad boosting budgets must be paid upfront, as we are required to remit payment to the relevant social media platforms immediately. Where a campaign has leftover budget, it must be utilised or refunded within 6 months of the campaign's start. After this 6-month period, we will treat the campaign as having ended, and any leftover budget remaining unutilised or unrefunded at that point will be forfeited.
6.2 Social Media Management
Engaging SushiVid for social media management includes the management of your social media postings and comments, along with a dedicated point of contact for your account.
Content Scheduling
Content is largely prepared in advance and scheduled for posting; a post published on a given day is not necessarily created on that same day. Any posting requested on weekends or public holidays must be agreed upon and scheduled with our team by 6:00pm the preceding Friday.
Dedicated Contact
Clients engaging us for social media management will be assigned a dedicated point of contact for day-to-day communication.
Minimum Engagement
A minimum engagement period of 6 months applies, to allow sufficient time to test our approach and assess results.
Crisis Management
SushiVid is not a crisis management team. Should a crisis arise in connection with our management of your social media, we recommend engaging a PR firm that specialises in crisis management to handle the matter.
7. DM & WhatsApp Marketing (Coming Soon)
DM marketing and WhatsApp marketing are upcoming services that we plan to introduce. Terms specific to these services will be published here once they become available.
8. Mini Webpages (IGlinks)
Mini webpages are provided through our affiliated product, IGlinks (iglinks.io), which operates under its own separate terms of use. Please refer to IGlinks' terms for that service.
9. Reviews & Submissions
By submitting content to the Site or to SushiVid — including any brand, influencer, or campaign reviews, questions, comments, suggestions, ideas, or similar information ("Submissions") — you grant SushiVid and its affiliates a worldwide, non-exclusive, royalty-free, perpetual, transferable, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, translate, distribute, publish, create derivative works from, and publicly display and perform such Submissions in any media, and to use the ID you submit in connection with such Submission. SushiVid may, at its discretion, attribute your Submissions to you, and such Submissions may be shared with others on our platform. Submissions are treated as non-confidential and non-proprietary.
SushiVid takes no responsibility and assumes no liability for Submissions you post, has no obligation to publish them, and may decide, at its sole discretion, which Submissions are published on the Site. You are fully responsible for the content of your own Submissions.
10. Ownership & Intellectual Property
All content on the Site — including designs, illustrations, software, video, sound, IDs, words, phrases, logos, images, and marks — is owned or licensed by SushiVid and protected by copyright, trademark, and other intellectual property laws. SushiVid reserves all rights in the Site and in all materials provided in connection with these Terms that are not specifically granted to you; the Site and its materials are licensed, not sold, to you.
The intellectual property rights in the Site, and in all text, images, video, graphics, interfaces, trademarks, logos, applications, and code made available on it, belong to SushiVid and our licensors. You may not copy, or permit anyone else to copy, any such content without our express prior permission.
Ownership of Campaign Content Across Our Services
For influencer marketing campaigns, ownership of content follows Section 2.4 above: content created by an influencer belongs to the influencer, unless otherwise agreed in writing.
For our Live Streaming Service, since the livestream is conducted on the client's own social media account, content created belongs to the client by default, unless the client specifies otherwise.
Content created before a campaign officially begins (for example, a pre-campaign shoot or teaser) is treated the same as any other campaign content: it belongs to the influencer/creator by default, unless it was specifically created as content for the client to post on the client's own account, in which case it belongs to the client.
11. No Unlawful or Prohibited Use
You shall not post or transmit to or from the Site:
- any unlawful, threatening, libelous, defamatory, obscene, or pornographic material, or any content that would violate rights of publicity or privacy, or otherwise violate the law;
- any commercial material or content (including solicitation of funds, advertising, or marketing of any goods or services); or
- any material or content that infringes, misappropriates, or violates any copyright, trademark, patent, or other proprietary right of a third party.
You are solely liable for any damages resulting from a breach of the above, or any other harm arising from content you post to the Site.
12. Third-Party Websites
The Site may link to other websites and online resources, including our affiliated products IGlinks, ConfirmPlusChop, and ReviewTheKOL. We are not responsible for and do not endorse such external sites. Your use of third-party websites is at your own risk.
13. Communications Not Confidential
SushiVid does not guarantee the confidentiality of any communications you make through the Site. While we generally follow accepted industry practices to secure the transmission of data, we do not guarantee the security of data transmitted over the internet or public networks in connection with your use of the Site.
14. Indemnification
You shall defend, indemnify, and hold harmless SushiVid and its officers, directors, employees, and agents from any claims, losses, damages, fines, penalties, or costs (including reasonable legal fees) arising from: (a) your breach of any warranty, representation, or obligation under these Terms; (b) your violation of any law or third-party right (including intellectual property rights); (c) your use of the Site; (d) any breach of or failure to perform under a Campaign Agreement, by you or by anyone acting on your behalf; or (e) the use of any media content created in connection with a campaign, by you or by any third party acting on your behalf or with your permission.
15. Non-Solicitation & Employee Protection
Non-Solicitation of SushiVid Employees
During the term of a campaign, and for 12 months after the campaign (measured from the date our report is sent), a client shall not, directly or indirectly and without disclosure to SushiVid's CEO, solicit, employ, or retain (or cause any other person or entity to solicit, employ, or retain) any SushiVid employee who manages that client's campaign.
No Outside Business Dealings with SushiVid Employees
SushiVid employees are not permitted, under their own non-competing obligations to us, to personally accept payment (whether directly or through a third party) from any of our clients for influencer marketing-related work or content creation (including writing, voice recording, design, photography, or videography), without first obtaining written permission from SushiVid's HR team or CEO. Where a client engages a SushiVid employee in this way without our knowledge, this may result in termination of that employee, and potential legal action against the client.
16. Geographic Application
SushiVid operates directly in Malaysia, Singapore, and Vietnam, and extends its reach into Indonesia, the Philippines, and Thailand through partner agencies. Not all influencers, campaigns, and services described on the Site are available in every jurisdiction, and nothing on the Site constitutes an offer or solicitation to buy or sell any product or service in a jurisdiction where such an offer is prohibited by law.
17. Governing Law & Jurisdiction
The governing law applicable to a campaign follows the SushiVid entity engaging the influencer, based on the influencer's location, regardless of where the client (brand) is based:
- Where the influencer is based in Singapore, the engagement is governed by the laws of Singapore, reflecting SushiVid's Singapore entity, and the courts of Singapore will have non-exclusive jurisdiction.
- Where the influencer is based in Vietnam, the engagement is governed by the laws of Vietnam, reflecting our partner agency arrangement for engaging influencers there.
- In all other cases — including where the influencer is based in Malaysia, or in a jurisdiction where SushiVid does not have a local entity or partner arrangement (such as Indonesia) — the engagement is governed by the laws of Malaysia, and the courts of Malaysia will have non-exclusive jurisdiction.
18. Entire Agreement, Waiver & Severability
These Terms constitute the entire agreement between SushiVid and you regarding the subject matter, and supersede all prior communications and proposals (electronic, oral, or written) between you and SushiVid. A printed version of these Terms, and of any electronic notice, is admissible in judicial or administrative proceedings to the same extent as other business records originally generated and maintained in printed form.
SushiVid's failure to enforce strict performance of any provision does not waive that provision or right. If any provision is found void, invalid, or unenforceable by a competent court, the remaining provisions are unaffected. Where these Terms conflict with another agreement between the parties (such as a Campaign Agreement), these Terms prevail, except that if you are also a registered influencer, the influencer-specific terms govern your relationship with SushiVid in that respect.
